Affiliate Programme — Terms & Conditions

1. Introduction & Programme Overview

These Terms and Conditions (“Terms”) govern participation in the CinnaReach Affiliate Partner Programme (“Programme”). By applying to or participating in the Programme, you (“Partner,” “you,” or “your”) agree to be bound by these Terms in their entirety.

The Programme is operated by CinnaReach, a brand of Cinnamon Consulting, registered in the Principality of Andorra (“CinnaReach,” “we,” “us,” or “our”). The Programme is administered through the CinnaReach platform at app.cinnareach.com.

The Programme enables individuals and businesses to earn recurring commission by referring new paying subscribers to CinnaReach. Partners receive a unique referral link and, where applicable, a coupon code to share with prospective customers. When a referred prospect subscribes to a paid CinnaReach plan, the referring Partner earns a percentage of that customer’s subscription payment for a defined period, as described in Section 3.

These Terms form a binding agreement between you and CinnaReach. They do not create an employment relationship, partnership, joint venture, or agency relationship between you and CinnaReach.

2. Eligibility

The Programme is open to individuals and businesses worldwide. There are no geographic restrictions on participation at the time of publication of these Terms. To participate, you must meet all of the following requirements:

• Age. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is higher.
• Accurate information. You must provide accurate, complete, and current information in your application and maintain the accuracy of that information throughout your participation.

The following restrictions apply:

• Self-referral prohibited. You may not use your own referral link or coupon code to sign up for a CinnaReach subscription for your own use. Existing CinnaReach customers cannot earn commission on their own subscription or on any account they own or control.
• Existing customers. You may not refer individuals or companies that are already active CinnaReach subscribers at the time of the referral. Commission is only earned on genuinely new customers.
• Competitors excluded. Direct competitors of CinnaReach — defined as companies whose primary product competes directly with CinnaReach’s automated webinar outreach platform — may not participate in the Programme.

CinnaReach reserves the right to reject any application at its sole discretion and without obligation to provide a reason. Acceptance into the Programme is not guaranteed.

3. Commission Structure

The Programme offers three partnership tiers, each with a distinct commission rate and duration:

What triggers commission

• Commission is triggered only on paid subscriptions. Free trials, demo accounts, and unpaid accounts do not generate commission.
• Commission is calculated on the net subscription amount — the price paid by the subscriber excluding any applicable taxes, VAT, or government-imposed fees.
• Commission accrues on each successful payment within the applicable commission duration for that referral.

What voids commission

• Churn lock: If a referred subscriber cancels or churns within thirty (30) days of their first payment, the commission for that referral is voided in full.
• Chargebacks and refunds: If a referred subscriber’s payment is refunded or charged back, the corresponding commission is reversed.
• Fraudulent or prohibited activity: Commission earned through any prohibited practice listed in Section 6 is forfeited.

4. Tracking & Attribution

CinnaReach uses cookie-based tracking to attribute referrals to Partners. When a prospect clicks your referral link, a first-party cookie named cr_aff is set in their browser.

Attribution model

CinnaReach uses a last-click attribution model. If a prospect clicks referral links from multiple Partners, the most recent click determines which Partner receives the commission.

Coupon code fallback

As a fallback when cookie-based tracking is not available, Partners may use coupon code tracking. When a prospect applies your assigned coupon code at sign-up, the referral is attributed to you regardless of cookie status. Partners are encouraged to share coupon codes alongside referral links to maximise attribution accuracy.

Tracking limitations

If the cr_aff cookie is deleted, blocked, or expires before the prospect converts, attribution may be lost. CinnaReach is not responsible for cookie blocking by browsers, browser extensions, privacy tools, or device settings.

5. Payout Terms

• Minimum payout threshold: $50 USD. Commission balances below this amount accumulate until the threshold is reached.
• Commission calculation: Commissions are calculated on the 1st of each calendar month for the preceding month’s qualifying transactions.
• Payout requests: Partners request payouts from their partner dashboard at app.cinnareach.com. Payouts are not issued automatically.
• Processing time: Payouts are processed within three (3) business days of a valid request.
• Payment methods: PayPal or bank transfer (IBAN/SWIFT). Partners must provide valid payment details in their dashboard settings.
• Currency: All commissions are denominated and paid in USD ($).

6. Prohibited Practices

Partners must not engage in any of the following practices. Violation may result in immediate termination and forfeiture of all unpaid commissions.

• Brand keyword bidding. Bidding on CinnaReach brand keywords (including “CinnaReach,” “Cinnamon Consulting,” and variations) in paid search advertising (Google Ads, Bing Ads, etc.) without prior written approval from CinnaReach.
• Misrepresentation. Making false or misleading claims about CinnaReach’s product, features, pricing, or capabilities.
• Spam. Sending unsolicited bulk messages — email, SMS, social media, or any other channel — to promote your referral link or coupon code.
• Fake reviews or testimonials. Creating, publishing, or commissioning fake reviews, testimonials, or endorsements of CinnaReach.
• Cookie stuffing. Using hidden iframes, automatic redirects, pop-unders, or any deceptive method to set the cr_aff cookie without genuine user intent.
• Incentivised clicks. Paying, rewarding, or otherwise incentivising individuals to click your referral link without genuine interest in CinnaReach.
• Trademark misuse. Registering domain names, social media handles, or ad accounts that include CinnaReach trademarks or confusingly similar variations.
• Unlawful conduct. Any practice that violates applicable local, national, or international law, including data protection and consumer protection regulations.

CinnaReach reserves the right to investigate suspected violations and take any action it deems appropriate, including suspension pending investigation, termination, and forfeiture of unpaid commissions.

7. Programme Changes

CinnaReach may modify commission rates, tiers, cookie durations, payout terms, or any other aspect of the Programme at any time. The following safeguards apply:

• Material changes will be communicated to active Partners with at least thirty (30) days’ written notice via the email address on file.
• Continued participation in the Programme after the notice period constitutes acceptance of the updated Terms.
• Changes do not affect already-earned commissions. Any commission accrued before the effective date of a change remains payable under the original terms.
• If you do not agree with a change, you may terminate your participation as described in Section 8.

8. Termination

Either party may terminate the partnership at any time, for any reason, by providing written notice (email is sufficient).

CinnaReach may terminate immediately and without notice if a Partner violates these Terms, engages in any prohibited practice listed in Section 6, or acts in a manner that CinnaReach reasonably considers harmful to its reputation or business interests.

Upon termination

• Standard termination: Earned and unpaid commissions that meet the $50 minimum threshold will be paid out within sixty (60) days of the termination date.
• Termination for fraud or material breach: All unpaid commissions are forfeited. CinnaReach reserves the right to pursue any additional legal remedies available.
• You must immediately cease using all CinnaReach branding, logos, trademarks, and referral links.
• You must remove any CinnaReach promotional materials from your websites, social media accounts, and other channels within fourteen (14) days of termination.

9. Liability & Warranties

• No guarantee of earnings. CinnaReach makes no guarantees regarding the amount of commission a Partner will earn. Past performance is not indicative of future results.
• Independent contractor. You are not an employee, agent, or representative of CinnaReach. You have no authority to bind CinnaReach to any agreement or obligation.
• Tax obligations. You are solely responsible for your own tax obligations, social security contributions, and any other costs associated with your activities as a Partner.
• Limitation of indirect damages. CinnaReach shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the Programme.
• Maximum liability. CinnaReach’s total aggregate liability to any Partner under these Terms shall not exceed the total commissions earned by that Partner in the twelve (12) months immediately preceding the event giving rise to the claim.
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Principality of Andorra.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Andorra (Andorran Public Prosecutor’s Office / APDA jurisdiction).

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days from the date one party notifies the other in writing.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
