1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "the Customer") and CinnaReach, operated by Cinnamon Consulting ("we", "us", "our"), governing your access to and use of the CinnaReach platform, including all associated features, tools, APIs, and documentation (collectively, the "Service").
By creating an account, accessing, or using CinnaReach, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Service Description
CinnaReach is a software-as-a-service (SaaS) platform designed for automated business-to-business (B2B) webinar outreach. The Service provides the following core capabilities:
- Sending personalized Google Calendar invitations at scale via Google Workspace service accounts
- Real-time tracking of RSVP responses (accepted, maybe, declined, awaiting)
- Automatic registration of accepted attendees into Zoom webinars
- Integration with MailerLite for post-webinar email sequence automation
- Multi-sender rotation and contact cooldown management
- Campaign scheduling, priority-based send queues, and dry-run testing
- Contact management with CSV import, deduplication, and suppression lists
We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will provide reasonable advance notice of any material changes that significantly affect your use of the platform.
3. Account Registration
To use CinnaReach, you must create an account by providing accurate, complete, and current information, including your name, email address, and a secure password. You agree to:
- Provide truthful and accurate information during registration and keep it up to date.
- Maintain the confidentiality of your account credentials and not share them with unauthorized parties.
- Accept responsibility for all activity that occurs under your account, whether or not authorized by you.
- Notify us immediately at hello@cinnamonconsulting.tech if you become aware of any unauthorized use of your account or any other breach of security.
Each individual may maintain only one account. Accounts are non-transferable. We reserve the right to suspend or terminate accounts that we reasonably believe contain false or misleading information.
4. Acceptable Use
You agree to use CinnaReach only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards. Specifically, you agree that you will not:
- Send unsolicited spam: You must not use CinnaReach to send invitations to individuals who have not given their consent to receive communications from you, or to contacts obtained from purchased, rented, or scraped email lists.
- Violate anti-spam laws: You must comply with all applicable anti-spam and electronic communication laws, including but not limited to the CAN-SPAM Act (United States), GDPR (European Union), CASL (Canada), and any other relevant jurisdiction-specific regulations.
- Circumvent sending limits: You must not attempt to bypass, manipulate, or circumvent the platform's sending limits, rate controls, cooldown periods, or any other safeguards designed to prevent abuse.
- Abuse integrations: You must not use connected third-party services (Google, Zoom, MailerLite) in a manner that violates their respective terms of service.
- Engage in illegal activity: You must not use the Service for any purpose that is fraudulent, deceptive, or otherwise illegal, including impersonation, phishing, or distribution of malware.
- Interfere with the Service: You must not attempt to disrupt, degrade, or interfere with the operation of CinnaReach or its underlying infrastructure, including through denial-of-service attacks, unauthorized access attempts, or reverse engineering.
Violation of this Acceptable Use policy may result in immediate suspension or termination of your account, at our sole discretion, without prior notice or refund.
5. Data Ownership
You retain full ownership of all data that you upload, import, or otherwise provide to CinnaReach ("Your Data"), including but not limited to contact lists, campaign configurations, and custom templates.
- We do not claim any ownership rights over Your Data.
- We do not sell, rent, license, or otherwise commercially exploit Your Data to any third party.
- We access and process Your Data solely for the purpose of providing, maintaining, and improving the Service, and only in accordance with our Privacy Policy.
- You grant us a limited, non-exclusive license to process Your Data as necessary to operate the Service on your behalf.
You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data, and for obtaining all necessary consents from individuals whose personal data you upload to the platform.
6. Payment Terms
Access to CinnaReach requires a paid subscription. The specific pricing, billing cycle (monthly or annual), and payment terms are agreed upon during the onboarding process and documented in your individual service agreement or order form.
- All fees are quoted in the currency specified in your service agreement and are exclusive of applicable taxes unless stated otherwise.
- Payment is due according to the schedule specified in your agreement (monthly or annually in advance).
- If payment is not received within fifteen (15) days of the due date, we reserve the right to suspend your access to the Service until the outstanding balance is settled.
- We reserve the right to modify our pricing with at least thirty (30) days' written notice. Price changes will take effect at the start of your next billing cycle.
7. Service Availability
We strive to maintain high availability of the CinnaReach platform and target 99.9% uptime. However, we do not guarantee uninterrupted or error-free operation of the Service.
- Scheduled maintenance windows will be communicated at least 48 hours in advance, where practicable, and will be scheduled during off-peak hours to minimize disruption.
- We are not responsible for downtime or service interruptions caused by factors beyond our reasonable control, including but not limited to third-party service outages (Google, Zoom, MailerLite, Heroku), internet connectivity issues, force majeure events, or actions taken by your organization.
- In the event of an unplanned outage, we will use commercially reasonable efforts to restore the Service as quickly as possible and will provide status updates through our designated communication channels.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will meet your specific requirements, that it will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
- In no event shall CinnaReach or Cinnamon Consulting be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the theory of liability.
- Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to CinnaReach during the twelve (12) months immediately preceding the event giving rise to the claim.
9. Termination
Either party may terminate this agreement as follows:
- Termination by You: You may terminate your account at any time by providing thirty (30) days' written notice to hello@cinnamonconsulting.tech. Pre-paid fees for the current billing period are non-refundable.
- Termination by Us (with notice): We may terminate your account with thirty (30) days' written notice for any reason, including discontinuation of the Service. In such cases, we will provide a pro-rata refund of any pre-paid fees for the unused portion of your billing period.
- Termination by Us (immediate): We may suspend or terminate your account immediately, without prior notice, if you materially breach these Terms, including violations of the Acceptable Use policy, non-payment, or any activity that threatens the security or integrity of the Service.
Upon termination, you will have a thirty (30) day grace period to export Your Data from the platform. After this grace period, we will permanently delete all of Your Data from our systems in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Data Ownership, and Governing Law) shall continue in effect.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Principality of Andorra and applicable European Union regulations, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms that cannot be resolved amicably within thirty (30) days shall be submitted to the exclusive jurisdiction of the courts of Andorra. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
